Terms of Service

1. The Service and Parties

HeartTech Soulutions LLC is the sole operator of the Service. The Heart of Peace Foundation ("THOPF") is an independent nonprofit organization that promotes the Service but is not a party to these Terms, does not operate or control the Service, and assumes no obligations or liabilities under this agreement.

2. Eligibility

You must be at least 18 years of age and have authority to bind yourself or your organization to these Terms.

3. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account. Notify us immediately at here4u@hearttech.solutions if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• Store or transmit content that is unlawful, fraudulent, defamatory, or infringes third-party rights
• Attempt to gain unauthorized access to any part of the Service or its underlying systems
• Use the Service to transmit malware, spam, or disruptive code
• Reverse-engineer or attempt to extract proprietary source code or algorithms
• Interfere with the performance or availability of the Service for other users
• Use the Service in violation of any applicable law or regulation

5. Organization Data

Your organization retains ownership of all data it submits to the Service ("Organization Data"). You grant HeartTech a limited, non-exclusive license to process Organization Data solely as necessary to provide the Service. HeartTech will not access, use, or disclose Organization Data except as required to operate the Service, as directed by you, or as required by law.

6. Artificial Intelligence

The Service includes AI-assisted features such as transcript summarization, document analysis, and compliance flagging. All AI-generated output — including summaries, suggestions, assessments, and drafted text — is provided for informational review only. It does not constitute legal, financial, accounting, tax, or other professional advice of any kind. You are solely responsible for reviewing, validating, and acting on any AI-generated content before relying on it.

7. No Professional Advice

Nothing in the Service or any output it generates constitutes legal, tax, financial, compliance, medical, or other professional advice. The Service is a software tool. Consult licensed professionals for decisions in those domains. HeartTech expressly disclaims all liability for decisions made in reliance on Service output without independent professional review.

8. Fees

Certain features may require payment. All fees are stated in U.S. dollars. Unless explicitly stated otherwise at the time of purchase, fees are non-refundable. HeartTech reserves the right to modify pricing with 30 days' notice.

9. Intellectual Property

The Service, including its software, interfaces, design, and content provided by HeartTech, is owned exclusively by HeartTech Soulutions LLC and is protected by applicable intellectual property laws. "UsOS" and "HeartTech" are trademarks of HeartTech Soulutions LLC. You may not use our trademarks or intellectual property without prior written permission.

10. Termination

You may close your account at any time. HeartTech may suspend or terminate your account for material breach of these Terms, with or without prior notice. Following termination, you will have 30 days to export your Organization Data. After that period, HeartTech may permanently delete it.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEARTTECH SOULUTIONS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY OF DATA, AND NON-INFRINGEMENT. HEARTTECH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEARTTECH SOULUTIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. HEARTTECH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID HEARTTECH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

13. Indemnification

You agree to defend, indemnify, and hold harmless HeartTech Soulutions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Organization Data; (c) your violation of these Terms; or (d) your violation of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law provisions. Any dispute that cannot be resolved informally within 30 days shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Mecklenburg County, North Carolina. Either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

15. Class Action Waiver

ALL DISPUTES SHALL BE RESOLVED SOLELY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE ACTION.

16. Modifications

HeartTech reserves the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or in-Service notification. Continued use after changes take effect constitutes acceptance of the updated Terms.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HeartTech regarding the Service and supersede all prior agreements on this subject.
